End-User License Agreement

Effective date: May 6, 2026

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Oasis Studios LLC ("Company," "we," "us") governing your use of the Oasis Studios Bookkeeping application and related services ("Software").

1. License grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes in connection with your QuickBooks Online account.

2. Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the Software
• Reverse engineer or attempt to extract the source code of the Software
• Use the Software to provide services to third parties without our written consent
• Remove or alter any proprietary notices or labels on the Software
• Use the Software in any way that violates applicable laws or regulations

3. QuickBooks Online integration

The Software integrates with Intuit QuickBooks Online via authorized APIs. Your use of QuickBooks Online is governed by Intuit's own terms of service. We are not responsible for the availability, accuracy, or functionality of QuickBooks Online services.

4. Data handling

The Software accesses your QuickBooks Online financial data solely to provide bookkeeping automation services. We do not sell, share, or disclose your financial data to third parties except as necessary to operate the Software or as required by law. See our Privacy Policy for details.

5. Intellectual property

The Software and all associated intellectual property rights remain the exclusive property of Oasis Studios LLC. This Agreement does not grant you any ownership interest in the Software.

6. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OASIS STUDIOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

8. Termination

We may terminate this Agreement at any time if you breach any of its terms. Upon termination, your right to use the Software ceases immediately. Sections 5, 6, 7, and 9 survive termination.

9. Governing law

This Agreement is governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

10. Changes to this Agreement

We may update this Agreement from time to time. Continued use of the Software after changes are posted constitutes acceptance of the revised terms.
